Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Calimatic ("Company," "we," "our," or "us") concerning your access to and use of our website, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Services Description

Calimatic provides technology solutions including but not limited to:

• Web development and mobile application development
• AI and machine learning solutions
• Cloud infrastructure management
• API development and integration services
• Data analytics and business intelligence
• UI/UX design and branding services
• Quality assurance and testing services
• Consulting and technical support

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use our Services.

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and code, are owned by Calimatic or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of any content you submit or upload to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

Work Product

Unless otherwise specified in a separate written agreement, all work product, deliverables, and intellectual property created by Calimatic in the course of providing Services shall be owned by the client upon full payment for such Services.

Payment and Billing

Fees

Our Services are provided at the rates specified in our proposals, quotes, or service agreements. All fees are quoted in U.S. Dollars unless otherwise stated.

Payment Terms

• Payment is due according to the terms specified in your service agreement
• We accept payment via credit card, bank transfer, or other approved methods
• Late payments may incur interest charges or service suspension
• All fees are non-refundable unless otherwise stated in writing

Taxes

You are responsible for all applicable taxes, duties, and government fees associated with your use of our Services.

We strive to provide high-quality services, but we make no warranties or representations about the accuracy, reliability, or completeness of our Services. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that our Services will be uninterrupted, error-free, or free from viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALIMATIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Calimatic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any rights of another party.

Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use our Services will immediately cease, but provisions that by their nature should survive termination shall remain in effect.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to prevent irreparable harm.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with Calimatic, constitute the entire agreement between you and us regarding your use of our Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
